Athlete Brands Network

Terms of Service & Participation Agreement

By joining the Athlete Brands Network (“Network”), operated by Athlete Brands LLC, a Colorado-registered marketing and media company (“Athlete Brands,” “Company,” “we,” “us”), you (“Athlete,” “User”) agree to the following Terms of Service. Please read carefully before enrolling.


Relationship of Parties & Agency Disclaimer

X.1 Not an Athlete Agent|

The Platform is a technology-enabled marketplace and educational directory. It is not a certified athlete agent, talent agency, or sports management firm. By using this service, you acknowledge that the Platform:

Does not provide professional representation as defined by the Uniform Athlete Agent Act (UAAA) or the Sports Agent Responsibility and Trust Act (SPARTA).

Does not hold itself out as a "representative" for the purpose of negotiating professional sports contracts or marketing agreements.

X.2 No Power to Bind

The Platform has no legal authority to act on behalf of, or bind, any User (Athlete or Brand) to a contract. All agreements facilitated through the platform are entered into directly between the Athlete and the Brand. The Platform is not a party to any Name, Image, and Likeness (NIL) contract and shall have no liability or obligations under such agreements.

X.3 Independent Negotiation & Execution

The Athlete and the Brand are solely responsible for:

Negotiation: Determining the scope of work, deliverables, and compensation.

Review: Conducting legal and financial due diligence on any deal.

Execution: Signing the final agreement through their own preferred legal methods.

X.4 Disclosure & Compliance (NIL Go)

Under the 2026 College Sports Commission (CSC) guidelines, Athletes are solely responsible for the mandatory disclosure of all NIL deals.

While the Platform may provide tools to assist in generating disclosure reports, the legal burden to submit the deal to the NIL Go portal within the required 5-day window rests entirely with the Athlete.

The Platform does not guarantee that any deal meets "Fair Market Value" (FMV) standards as determined by the CSC algorithm.

X.5 Service Fees vs. Commissions

Fees paid to the Platform are for subscription access, marketing visibility, and educational tools. The Platform does not take a percentage of the Athlete's earnings (commission) and does not operate as a "finder’s fee" model unless explicitly stated in a separate, written Professional Services Agreement.

  1. Nature of Services

Athlete Brands LLC provides marketing, media, and NIL-related support services designed to help athletes develop their personal brand and explore monetization opportunities.

Services may include, but are not limited to:

  • Access to NIL opportunities, campaigns, and brand programs

  • Custom merchandise setup, hosting, and promotion

  • Community access to affiliate, ambassador, and NIL opportunities

  • Social media exposure, graphics, and promotional features

  • Paid advertising using athlete-submitted content (where applicable)

  • Education, templates, scripts, and brand-building tools

Athlete Brands LLC is not a sports agent, sports agency, talent agent, legal representative, or financial advisor.

We do not negotiate contracts, provide legal advice, or guarantee compensation.

Athletes are encouraged to consult independent legal, compliance, or financial professionals before entering any NIL agreement.

  1. Membership & Access

The Athlete Brands Network requires an active membership of $10/month to maintain access.

Accounts with unpaid membership fees will be marked Pending

Pending or inactive accounts are not eligible for:

  • Merchandise payouts

  • NIL opportunity access

  • Paid deal consideration

  • Promotional features

  1. Right of Offset (Net-Off): Company reserves the right to deduct any outstanding or overdue subscription fees, chargebacks, or administrative costs directly from the Athlete’s earned merchandise profits prior to disbursement.


  2. Overdue Accounts: In the event an account is marked as Overdue, any pending payouts will be applied toward the delinquent balance. Once the subscription balance is satisfied, the remaining net profit will be released to the Athlete during the next scheduled payout cycle.


  3. Account Cancellation: Upon cancellation of the SaaS membership, a final reconciliation will be performed. Company will deduct any remaining account balances from the Athlete's final merchandise earnings. All remaining funds—less a standard 30-day "Return & Chargeback Buffer"—will be issued as a final settlement.

Services and payouts resume once the membership is reinstated.

  1. Non-Exclusive & Voluntary Participation

Participation in the Network is non-exclusive and voluntary.

Athletes are free to work with:

  • Other agencies

  • Brands

  • Schools

  • Collectives

  • NIL platforms

Athletes are never required to accept any opportunity presented.

Athlete Brands does not act as your legal agent or representative.

  1. Merchandise & Compensation

Unless otherwise stated:

Merchandise profits are split 75% to athlete / 25% to Athlete Brands

Payouts are processed monthly via PayPal, Stripe, or another approved method

  1. NIL Opportunities, Campaigns & Listings

The Network provides athletes with access to approximately 3–6 new NIL opportunities per month, which may include:

  • Public affiliate or ambassador programs

  • Discount code campaigns

  • Product seeding opportunities

  • Brand-managed programs

  • Paid deal applications (subject to approval)

Important Disclosure

Some opportunities listed in the Network are publicly available affiliate or ambassador programs.

Athlete Brands may organize, curate, and present these programs as Active Campaigns or listings for educational and discovery purposes.

This is permitted because:

  • The programs are publicly accessible

  • Applications occur directly on the brand’s website

  • Athlete Brands does not submit applications on behalf of users

  • No exclusivity or endorsement is implied. Each public affiliate program contains a clear disclaimer

Athlete Brands does not guarantee acceptance, earnings, or paid partnerships.

All brand approvals and compensation decisions are made solely by the brand.

  1. Athlete Conduct & Expectations

By participating, athletes agree to:

  • Maintain professionalism in brand interactions

  • Represent personal stats, content, and social metrics accurately

  • Follow NCAA, state, school, and institutional NIL rules

  • Avoid conduct that may harm brands, partners, or Athlete Brands

Violation of these expectations may result in removal from the Network.

  1. Compliance & Reporting

Athletes are solely responsible for ensuring NIL compliance with:

  • NCAA rules

  • State NIL laws

  • School or institutional policies

Athlete Brands LLC is not liable for:

  • Non-compliance

  • Failure to disclose income

  • Eligibility violations

  1. Termination & Cancellation

Athletes may cancel their membership at any time.

Preferred Cancellation Method:

Cancellation should be completed directly through the account dashboard, which connects to Stripe’s billing portal.

Email Cancellation

Athlete Brands will make a good-faith effort to process cancellations submitted via email:

Required:

  • First and Last Name

  • Account Email

Cancellation via Social Media DMs:

Cancellation requests via Instagram or social media do not guarantee cancellation, as Athlete Brands cannot identify accounts without name and email confirmation.

Stripe manages all recurring payments. Athletes are responsible for managing subscriptions associated with their email address.

If an athlete experiences an issue or duplicate charge, Athlete Brands will work in good faith to resolve it.

  1. Stripe Payments & Multiple Accounts

Users acknowledge that:

Creating multiple accounts through Stripe’s trial or payment funnel will trigger separate automatic charges

Each account bills independently 30 days after creation

Athlete Brands cannot create accounts on behalf of users, only cancel them upon request.
Refund Limitation

If a user creates multiple accounts and multiple charges result, the user is not eligible for a refund for those charges.

Membership fees are non-refundable once services are accessed, including:

  • Dashboard access

  • Opportunity listings

  • Merchandise setup

Refund requests may be considered within 7 days of sign-up only if no services have been delivered.

Refund requests must be sent to:

  1. Image & Content Usage

Athlete Brands reserves the right to use athlete-submitted content, including images and videos, for:

  • Social media promotion

  • Paid advertisements

  • Website content

  • Digital marketing materials

  • Content Quality Standards

  • Educational content, PDF's, or Modules

Athlete Brands may withhold services if content quality standards are not met.

Requirements include:

  • Social spotlights: 1–2 high-quality images featuring only the athlete

  • Merchandise: 3–10 high-quality images

  • No blurry photos or group images

  • Athlete must submit first and last name

Athlete Brands reserves the right to determine content eligibility.

  1. Age Policy

The online platform/Network is intended for athletes ages 16–25. By creating an account, users agree they are within this age range of participation.

High school athletes are accepted; however:

  • Participation is subject to state NIL laws

  • Eligibility is the athlete’s responsibility

Athlete Brands LLC provides marketing tools and opportunity access only.

We do not guarantee:

  • NIL earnings

  • Paid partnerships

  • Brand acceptance

Success depends on athlete performance, fit, compliance, and brand approval.

  1. Acknowledgment

By enrolling, you acknowledge that you have read, understood, and agreed to these Terms of Service.


High School Athlete NIL Compliance Addendum

This section applies specifically to high school athletes participating in the Athlete Brands Network, NIL opportunities, or merchandise programs offered by Athlete Brands LLC.

  1. Eligibility Verification Requirement

Before any NIL-related earnings or merchandise payouts can be sent, all high school athletes are required to provide written confirmation of eligibility.

  • They are permitted under their state’s NIL rules to receive compensation

  • They have obtained any required approvals, such as parent/guardian consent, school compliance confirmation, or state-level authorization (where applicable)

Payouts will not be released until eligibility confirmation is received and verified.

  1. Athlete Responsibility for Compliance

High school athletes acknowledge that:

They are fully responsible for understanding and complying with their state’s NIL laws, school rules, and athletic association guidelines

Athlete Brands LLC presents NIL opportunities but does not control brand applications, compensation, or contract terms

Athlete Brands LLC is not liable for eligibility issues, rule violations, or penalties related to NIL participation

The athlete is responsible for ensuring that:

  • They are allowed to participate in NIL activities

  • Any opportunities accepted do not violate state, school, or athletic association rules

  1. Membership Cost & Ongoing Services

High school athletes understand that the membership fee still applies, regardless of eligibility restrictions on NIL payouts.

This is because: the membership includes multiple services not dependent on NIL earnings, including:

  • Custom merchandise setup and management

  • Ambassador program access

  • Social media and brand-building tools

  • Film exposure, profile features, and athletic promotional opportunities

These services are still delivered even if the athlete is not yet eligible to receive NIL payments.

  1. No Guarantee of Compliance

Athlete Brands LLC does not guarantee that any NIL opportunity meets every state or school’s eligibility requirements. Athletes must verify compliance before applying for or participating in any NIL activity.

  1. Responsibility for Signed Deals

High school athletes agree that:

  • They are solely responsible for any NIL deals they apply for, accept, or participate in

  • Athlete Brands LLC does not negotiate or manage brand agreements

  • Athletes should review all agreements independently or with a parent/guardian

  1. No Legal or Eligibility Advice

Athlete Brands LLC does not provide legal, compliance, or eligibility advice. High school athletes are encouraged to consult:

  • Parents or guardians

  • School compliance officers

  • Legal counsel

  • State athletic associations
